________________(Name of the organization or person)____________________, hereinafter referred to as the Customer, acting on the basis of ____________________________, as one party, and Individual Entrepreneur Olga Shamakhova, hereinafter referred to as the Contractor, acting on the basis of the Certificate of Registration dated February 27, 2017, Primary State Registration Number of Individual Entrepreneur 317784700056092 as the other party, hereinafter jointly referred to as the Parties and separately as the Party, have concluded this Agreement on the following.
1. Subject of the agreement.
1.1. The Customer assigns and the Contractor undertakes to organize the Customer's participation in the Tattoo Festival, hereinafter referred to as the Conference.
1.2 The venue of the Conference: ____(venue name) ________, located at: ____(venue address)_____. Dates of the Conference: _(event dates).
2. Cost of services and terms of payment.
2.1 The cost of the Contractor's services for organizing the Customer's participation in the Conference is the amount of __________ (in words) rubles, not subject to VAT.
2.2 The Customer shall pay on the basis of the Contractor's invoice within 5 calendar days from the date of the invoice.
3. Contract Term.
3.1 This contract shall enter into force from the date of its signing by authorized representatives of both Parties and shall remain in effect until mutual obligations under this contract are fulfilled in full.
3.2 Acceptance of the work shall be based on the Statement signed by the authorized representatives of both Parties. The Party refusing to sign the Acceptance Act shall provide the other Party with a written reasoned refusal within three calendar days from the date of receipt of the Act, otherwise, the Act shall be deemed signed.
3.3 If the Customer fails to attend the Conference for any reason not caused by the Contractor, the services are considered to be rendered in full.
4. Obligations of the Parties
4.1 The Contractor undertakes to provide services of organizing the Customer's participation in the Conference, following the list of services specified in Appendix No.1, which is an integral part of this Agreement, by own efforts. 4.2.
4.2 The Customer undertakes to pay for the services of the Contractor based on an invoice issued by the Contractor following the terms of clause 2.2 of this Agreement.
4.3. Following the Decree of the Mayor of Moscow dated October 21, 2021, #62-UM On amendments to the Agreement. No. 62-UM Amending the Decree of the Mayor of Moscow dated June 8, 2020 No. 68-UM, the Customer's employees shall be obliged to present either a QR code about vaccination; or a QR code confirming that the person has had coronavirus; or a negative PCR test in case of medical exclusion from vaccination. In the absence of the above, such an employee will be denied entry to the Conference.
5. Responsibilities of the Parties.
5.1 The Parties shall be exempt from liability for full or partial non-performance or improper performance of obligations under this Agreement, if it was a consequence of force majeure circumstances (natural disasters, acts of war, changes in the current legislation, and other extraordinary and unavoidable circumstances) if they directly affected the performance of obligations by the Parties under this Agreement.
5.2 The Party, which, due to the occurrence of force majeure, cannot properly perform its obligations under this Agreement, must within three days of the onset of such circumstances notify the other Party; otherwise it is deprived of the right to refer to these circumstances as circumstances that exempt from liability for non-performance or improper performance of obligations under this Agreement.
6. Termination of the Agreement.
6.1. This Agreement shall enter into force from the date of its signing by both Parties and shall remain in force until all obligations under this Agreement are fulfilled by the Parties.
6.2 In case the Customer refuses to participate in the Conference, the funds paid by the Customer following clause 2.1 of this Agreement can be returned under the following conditions
6.2.1.Customer's refusal - 90 calendar days before the Conference - 70% of the paid sum is returned, - 60 calendar days before the Conference - 50% of the paid sum is returned, - 30 days before the Conference - 0% of the paid sum is returned.
6.3 Cancellation of participation in the Conference must be executed in writing and signed by an authorized representative of the Customer.
6.3 The Parties have the right to terminate this Agreement unilaterally if one of the Parties significantly violates the terms and conditions of this Agreement.
7.1 Disputes and disagreements, arising in connection with the performance of obligations under this Agreement shall be resolved by the Parties through negotiations. Should it be impossible to settle disputes between the Parties through negotiations, all disputes between them that may arise out of or in connection with this Agreement shall be subject to review by the Arbitration Court of Saint Petersburg and the Leningrad Region following the regulations of the said court under the laws of the Russian Federation.
8. Final provisions.
8.1. All amendments and additions to this Agreement shall be deemed valid only if they are documented and signed by both Parties.
8.2 In matters not regulated by this Agreement, the Parties shall be governed by the current legislation of the Russian Federation.
8.3 This Agreement is made in two copies, having equal legal force, one for each Party.

Services provided by the Contractor.
1. Installation of the exhibition space with an area of __(number of meters paid by the Customer)___ sq.m., which includes:
- an exhibition booth consisting of wall panels 1m or 2m or 2.5m high and 1m wide each, in the quantity as specified in the construction scheme which shall be approved 14 days prior to the start of the Conference.
- tables 0.5m x 1.2m (or 1m) and 0.5m x 0.5m in the quantity depending on the type of booth paid for by the Customer.
- chairs in an amount depending on the type of booth paid for by the Customer.
- lamp-spot in the quantity depending on the type of booth paid for by the Customer.
- extension cords with sockets in the quantity depending on the type of booth paid for by the Customer.
- location of the booth - as agreed upon.
